G. Allen Bass' practice spans the structured finance spectrum in both the corporate and municipal capital markets, ranging from municipal bonds and mortgages and asset-backed securities to offshore and domestic investment funds. His experience includes equity indexed notes and other derivative transactions.

Mr. Bass is a frequent speaker on capital market topics including legal and accounting issues in securitization and delinquent tax receivables. He was selected as one of ten Lawyers of the Year in 2005 by the Michigan Lawyers Weekly.

While engaged in full-time practice of law, Mr. Bass has served as a member of the Adjunct Faculty of Boston University School of Law, offering an Introduction to Structured Finance (securitization and derivatives). He has also served as an instructor for seminars and presentations sponsored by the New York Institute of Finance in New York City, most notably a special presentation to the Korea Asset Management Corporation (KAMCO), a government-sponsored corporation created to securitize non-performing loans to stabilize the Korean financial system.

Practice Areas:

Public Law, Deal of the Year, Securitization: Provided legal basis and structure for transaction for unique combination of corporate securitization and municipal finance to fund $1.44 billion unfunded actuarial accrued pension liability for one of nation's largest municipalities. Selected as 2005 Midwest Region Deal of the Year by The Bond Buyer (national newspaper of Public Finance) for its innovative nature.

International: Developed offshore structure involving trust-issuing debt with equity linked return and guaranteed return of principal.  Utilized U.S. Treasury derivatives and swapping program to increase return.

Pension Investment: Structured money market fund for Fortune 50 corporation to enable it to provide employees with a vehicle for short-term investments.

Government Receivables: Drafted Massachusetts legislation and structured first successful transaction enabling Massachusetts municipality to sell delinquent taxes at a profit.

Structured Assets: Developed and implemented program for Fortune 50 financial institution to create structured assets for sale in secondary market.

Mortgage-Backed Securities: Special corporate counsel to Fannie Mae in structuring MBS program to implement federal legislation enacted to preserve low and moderate income housing.

Asset Backed Securities: Provided legal basis for first of its kind credit card securitization for Fortune 25 corporation, its financing affiliate and its affiliated savings bank.

Mr. Bass served as a consultant in 1976 for the 701 Planning Grant Report for Liberty Harbor focusing on "Revitalizing Urban Centers through Community Development Authorities.

In 1990, he was a consultant for a study with the California Debt Advisory Commission on "Leases in California: Their Form and Function."
